These Terms of Service (“Terms”) govern your access to and use of the websites, applications, software, services, and other products provided by Pinpoint Health, Inc. (“Pinpoint,” “we,” “us,” or “our”), including our oncology-focused information and decision-support platform (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree to these Terms, do not access or use the Services.

1. What Pinpoint Is

Pinpoint is an information and technology platform designed to help people better understand and organize information relating to their cancer diagnosis, treatment, health, and wellness.

Depending on the features you use, Pinpoint may help you:

  • organize and understand information from your medical records;
  • connect or import information from healthcare providers or electronic health record systems;
  • summarize or explain medical information and scientific literature;
  • identify and organize questions to discuss with healthcare professionals;
  • evaluate information concerning supplements, medications, lifestyle factors, and other interventions;
  • provide personalized educational information based on information you choose to provide; and
  • use artificial intelligence and other software technologies to generate, organize, or explain information.

Pinpoint is an information and educational service. It is not a hospital, medical practice, pharmacy, laboratory, or emergency service.

2. Not Medical Advice

Pinpoint does not provide medical advice, diagnosis, treatment, or medical care.

Information provided through the Services is intended for general educational and informational purposes and is not a substitute for professional medical advice, diagnosis, or treatment from a qualified healthcare professional.

You should not use the Services to make decisions about starting, stopping, changing, or avoiding:

  • cancer treatment;
  • prescription or over-the-counter medications;
  • supplements;
  • vitamins;
  • medical procedures;
  • radiation, chemotherapy, immunotherapy, surgery, or other cancer therapies; or
  • any other medical intervention

without consulting an appropriately qualified healthcare professional.

You are solely responsible for discussing health and treatment decisions with your physicians and other healthcare professionals.

Do not disregard, delay, or modify professional medical advice because of information provided through Pinpoint.

If you believe you are experiencing a medical emergency, contact an appropriate emergency medical service or seek immediate medical attention. Pinpoint is not an emergency service and is not monitored for emergencies.

3. No Guarantee of Accuracy

Medicine and biomedical science are constantly evolving. Medical literature can be incomplete, conflicting, outdated, or subsequently shown to be incorrect.

Although we attempt to provide useful, cited, and accurate information, Pinpoint does not guarantee that information provided through the Services is:

  • accurate;
  • complete;
  • current;
  • applicable to your individual circumstances;
  • supported by sufficient scientific evidence;
  • appropriate for your diagnosis or treatment; or
  • free from errors or omissions.

Information generated by artificial intelligence may contain factual errors, incomplete reasoning, incorrect interpretations, or other inaccuracies.

You should independently verify important information with qualified healthcare professionals and, where appropriate, the underlying scientific or medical sources.

4. Artificial Intelligence

Some features of the Services may use artificial intelligence, machine learning, large language models, retrieval systems, or other automated technologies (“AI Features”).

AI Features may analyze information you provide and may generate summaries, explanations, questions, recommendations, classifications, or other content.

AI-generated information is not guaranteed to be correct and should not be treated as a diagnosis, medical determination, or professional medical recommendation.

You acknowledge that:

  1. AI systems can make mistakes;
  2. AI systems may produce different results from similar inputs;
  3. AI systems may fail to identify relevant information;
  4. AI systems may incorrectly interpret medical information; and
  5. AI-generated outputs should be reviewed by qualified professionals before being relied upon for consequential decisions.

You are responsible for determining whether and how to use information generated by the Services.

5. Medical Records and Health Information

Certain features may allow you to upload, enter, import, or connect health information, including information from electronic health records or healthcare providers.

You authorize Pinpoint to access, process, organize, analyze, and display information as reasonably necessary to provide the Services you request.

You represent that you have the legal right and authority to provide any information you submit to Pinpoint or authorize Pinpoint to access.

Pinpoint does not guarantee that information imported from a healthcare provider or electronic health record system will be complete, accurate, current, or available at all times.

Information imported from a healthcare provider remains subject to the limitations and accuracy of the underlying source.

6. Your Account

You may be required to create an account to use certain features.

You agree to:

  • provide accurate information;
  • keep your account information current;
  • maintain the confidentiality of your login credentials;
  • use reasonable measures to protect your account; and
  • promptly notify Pinpoint of unauthorized access to your account.

You are responsible for activity occurring through your account unless the activity resulted from Pinpoint’s failure to maintain reasonable security.

We reserve the right to suspend or terminate accounts that violate these Terms or present a security, legal, or operational risk.

7. Acceptable Use

You may use the Services only for lawful purposes and in accordance with these Terms.

You may not:

  • use the Services for unlawful, fraudulent, or abusive purposes;
  • attempt to gain unauthorized access to the Services or another person’s account;
  • interfere with or disrupt the Services;
  • reverse engineer, decompile, or attempt to derive source code from the Services except where expressly permitted by law;
  • circumvent security or access controls;
  • scrape or systematically extract information from the Services;
  • use the Services to develop or train a competing product except as expressly authorized by Pinpoint;
  • impersonate another person;
  • submit information you do not have the right to submit;
  • use the Services to provide medical care to another person without appropriate authorization and professional responsibility; or
  • use the Services in a manner that violates applicable law.

8. Your Content

You retain ownership of information and content that you submit to Pinpoint (“User Content”), subject to the rights necessary for Pinpoint to operate the Services.

You grant Pinpoint a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, modify, and otherwise use User Content solely as reasonably necessary to:

  • provide and maintain the Services;
  • provide features you request;
  • secure and protect the Services;
  • troubleshoot and improve the Services;
  • comply with legal obligations; and
  • perform other activities described in our Privacy Policy.

Pinpoint will handle personal information, including health information, in accordance with our Privacy Policy.

Nothing in these Terms gives Pinpoint ownership of your medical records.

9. Product Improvement and De-Identified Information

To the extent permitted by applicable law, Pinpoint may use information that has been de-identified, aggregated, or otherwise processed so that it is no longer reasonably capable of being associated with an individual for purposes including:

  • analyzing usage trends;
  • improving and developing products;
  • improving models and algorithms;
  • research and analytics;
  • security;
  • quality assurance; and
  • business operations.

Pinpoint will not represent de-identified information as identifying you.

Pinpoint will not use your identifiable health information for unrelated purposes merely because you have provided it to us.

10. Third-Party Services

The Services may integrate with or rely upon third-party services, including:

  • electronic health record systems;
  • healthcare providers;
  • identity and authentication providers;
  • cloud infrastructure providers;
  • analytics providers;
  • payment processors;
  • communications providers;
  • artificial intelligence and machine-learning providers; and
  • other technology providers.

Your use of third-party services may be subject to those providers’ own terms and privacy policies.

Pinpoint does not control third-party services and is not responsible for their availability, security, accuracy, or practices.

11. Third-Party Medical and Scientific Information

Pinpoint may present information derived from third-party sources, including medical literature, scientific publications, clinical guidelines, databases, healthcare providers, and other sources.

Pinpoint does not guarantee the accuracy, completeness, interpretation, or continued availability of third-party information.

A reference to a scientific study, product, supplement, medication, clinical trial, healthcare provider, or other third party does not constitute an endorsement or guarantee of its safety or effectiveness.

12. Supplements and Other Health Products

Pinpoint may provide information concerning dietary supplements, vitamins, herbs, foods, medications, or other products.

Such information is educational only.

The fact that a substance appears in the Services does not mean that it is safe, effective, appropriate for your cancer, or appropriate for use with your medications or treatment.

Substances may interact with one another or with cancer treatments in ways that are not known or adequately studied.

You should consult your oncologist, pharmacist, or another qualified healthcare professional before taking, stopping, or changing any supplement or medication.

13. Clinical Decisions Remain With You and Your Healthcare Team

Pinpoint may help you prepare for conversations with your healthcare team, but Pinpoint does not replace that relationship.

Your healthcare professionals remain responsible for evaluating your medical history, examining you when appropriate, interpreting diagnostic results, and making clinical decisions.

Pinpoint does not communicate treatment decisions to your healthcare providers on your behalf unless a specific feature expressly permits you to do so.

14. Intellectual Property

The Services, including their software, design, interfaces, text, graphics, trademarks, logos, databases, and other materials, are owned by or licensed to Pinpoint and are protected by applicable intellectual property laws.

Except for the limited right to use the Services in accordance with these Terms, Pinpoint does not grant you any ownership interest or license in its intellectual property.

“Pinpoint,” the Pinpoint name, logos, and related marks are trademarks or service marks of Pinpoint Health, Inc. or its licensors.

15. Feedback

If you provide suggestions, ideas, comments, or other feedback regarding Pinpoint, you grant Pinpoint the right to use that feedback without restriction or compensation to you.

This provision does not grant Pinpoint ownership of your User Content.

16. Fees and Subscriptions

Certain Services may be offered for free, while others may require payment.

If you purchase a paid Service, the applicable pricing, billing terms, renewal terms, and cancellation terms presented at the time of purchase will apply.

Unless otherwise stated, subscriptions automatically renew for the applicable subscription period until canceled.

You authorize Pinpoint or its payment processor to charge the applicable payment method for recurring charges.

Pinpoint may change pricing for future subscription periods by providing reasonable notice.

17. No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

PINPOINT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, AND ACCURACY.

PINPOINT DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED;
  • THE SERVICES WILL BE ERROR-FREE;
  • INFORMATION WILL BE COMPLETE OR CURRENT;
  • AI-GENERATED CONTENT WILL BE ACCURATE;
  • THE SERVICES WILL PRODUCE A PARTICULAR MEDICAL OR HEALTH OUTCOME; OR
  • THE SERVICES WILL MEET YOUR INDIVIDUAL REQUIREMENTS.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINPOINT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINPOINT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID PINPOINT FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. ONE HUNDRED U.S. DOLLARS ($100).

These limitations do not apply to liability that cannot legally be limited or excluded.

19. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Pinpoint and its officers, directors, employees, contractors, affiliates, and service providers from claims, damages, liabilities, losses, and expenses arising from:

  • your violation of these Terms;
  • your misuse of the Services;
  • your violation of applicable law;
  • your infringement of another person’s rights; or
  • User Content that you submit to the Services.

20. Changes to the Services

Pinpoint may modify, suspend, or discontinue any portion of the Services at any time.

We may add, remove, or modify features, including AI Features, integrations, and functionality.

We do not guarantee that a particular feature will remain available indefinitely.

21. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we will provide reasonable notice, which may include posting the updated Terms through the Services or sending notice to the email address associated with your account.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms.

22. Termination

You may stop using the Services at any time.

Pinpoint may suspend or terminate your access if:

  • you violate these Terms;
  • we reasonably believe your use presents a security or legal risk;
  • required by law;
  • the Services are discontinued; or
  • otherwise permitted under applicable law.

Upon termination, provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

23. Governing Law

These Terms will be governed by the laws of the State of Washington, without regard to its conflict-of-law principles, except to the extent applicable law requires otherwise.

24. Dispute Resolution

If permitted by applicable law, Pinpoint may require disputes to be resolved through binding arbitration rather than in court.

Any arbitration provision, class-action waiver, venue provision, and related consumer disclosures should be reviewed and implemented in accordance with applicable federal and state law before inclusion in the final Terms.

25. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

These Terms constitute the entire agreement between you and Pinpoint regarding the Services and supersede prior agreements concerning the Services, except where a separate written agreement expressly governs.

You may not assign your rights or obligations under these Terms without Pinpoint’s prior written consent.

Pinpoint may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or similar transaction.
